These Affiliate Program Terms describe the speaking.app Creator Partner Program (the Program).
1. Your agreement with us
The Program is operated by Prosody Limited, registered in Ireland, CRO number 811167, at Venture Hub, 136 Capel Street, Dublin, D01 T2C9. You can contact us at hello@speaking.app.
These terms govern your affiliate participation. The Terms and Conditions govern your use of speaking.app. For affiliate matters, including commissions and liability for the Program, these terms take priority over conflicting service terms. Our Privacy Policy explains how we handle personal data; accepting this agreement does not waive your privacy rights or give blanket consent to marketing.
2. Eligibility and joining
You must be at least 18 and of legal age to enter this agreement where you live. You may participate personally or for a business you are authorized to represent. Maintain an accurate speaking.app account and provide your legal name, contact details, country, and the payment or tax information reasonably needed to operate the relationship. Tell us when those details change. We may verify your identity, business and ownership of your promotional channels.
Applications are welcome internationally, subject to applicable law and a supported payment route. Your receiving country and selected payment method must be supported. Sanctioned or unsupported routes cannot be admitted. Before payment, we verify a lawful route from our Revolut Business account to an account held in your name or your participating business's name. A Revolut account is not required to receive a bank transfer. You must provide accurate identity, contracting, tax-residence and payment information, confirm that you may lawfully participate and receive the payments, and tell us before using an earning link if a known local requirement is incompatible with the ordinary payout schedule. Applications do not guarantee admission or universal payment availability.
Participation requires our invitation and your explicit acceptance. Applying does not reserve a link or create earning rights. Once approved and invited, you receive a generated referral link with speaking.app branding when you accept the published agreement and the program is open. A photo, recommendation and custom URL are optional. You can publish optional profile and sharing-image changes from your workspace. You are responsible for their accuracy and your rights to use them; we may require changes or restrict content that breaches these terms. Bank recipient verification is required before payment, rather than before you can share your approved link. Use one affiliate account unless we agree otherwise. Do not transfer the account or appoint sub-affiliates without written permission.
3. Your profile, materials and Pro access
Your default referral experience uses the name approved in your invitation and standard speaking.app content. You can optionally publish a photo, recommendation and changes to your public profile. Published content appears with the ordinary speaking.app signup experience when visitors open your active link. Visitors choose what to practice themselves.
Your creator workspace provides a sharing-card studio, speaking.app logos and suggested captions. Start with a ready-made design or customize its colors, font, headline and optional image. You can prepare materials after agreement acceptance and share your referral link when your partnership is active. Adding a photo is optional. Publishing your profile and publishing your sharing image are separate actions. Changing one does not publish changes to the other. Illustrations and samples must not be presented as real customer results.
Partner Pro access is a separate access grant. Any onboarding expiry appears in your workspace; ongoing partner access depends on your participation status. Joining does not cancel or refund a subscription you already pay for. Ending partner access does not remove independently valid purchased or workspace access.
4. Commission and eligible purchases
The standard commission is 30% of eligible collected payments, excluding customer tax, during each qualifying customer's original 12-calendar-month earning period. Eligible purchases are individual Pro monthly subscriptions, Pro annual subscriptions and Week Passes, including eligible renewals and repeat purchases within that period. Week Passes are one-time purchases, not weekly subscriptions.
The period starts with the customer's earliest eligible captured payment and ends immediately before its first calendar anniversary. For a February 29 start, that anniversary is February 28 in the following year. Free accounts, unpaid trials and failed payments earn no commission. A later capture after a trial may qualify; a trial ending by itself does not. Cancellation, a refunded first payment, a new click, a plan change or a later purchase does not restart the period. An annual renewal captured on or after the anniversary is outside it.
Workspace and organization purchases, Pro Pass packs, gifts, complimentary access and purchases outside these named personal products are excluded. A different commercial offer requires a separately recorded agreement. A calculator, promotional caption or informal discussion does not amend your accepted offer.
5. Qualifying referrals
A visitor must open your active link, explicitly choose to continue with your referral, and complete verified signup or login. We then associate the referral with their account. We do not set a referral cookie or persist an anonymous referral identifier in their browser. A short-lived authentication handoff can carry the choice they just made through signup or login.
The first eligible payment must be captured before the 90-day referral deadline, measured from the first qualifying account referral. After that first payment, section 4's separate earning period applies. Visiting the link without completing the account step does not reserve a future commission.
The first valid account referral is retained during its window. Repeated visits and another creator's link do not overwrite it or extend either clock. An expired, unpaid referral can be considered for reassignment only after a new explicit choice and an evidence-based review; a link visit alone does not cause a transfer. Existing free users may qualify if they have never made an eligible purchase. Previous paying customers and purchases by you or your own business do not qualify. A previous eligible purchase remains a previous purchase even if refunded.
Signup counts and referral records are not guaranteed commissions. Report suspected attribution errors with the relevant evidence so we can investigate. Visitors may continue without a referral and use the product at the same price. There is no automatic audience discount or permission to invent coupons.
6. Amounts, prices and currency
The commission base is the money actually collected for an eligible purchase after discounts and excluding sales tax or VAT. Refunds and chargebacks reduce it under section 7. We do not deduct our ordinary Paddle processing fees or product operating costs from that base. Zero-value purchases earn nothing. We review credits, mixed purchases and uncertain payment evidence before recognizing a reward.
Customers may purchase in any country where speaking.app sells the eligible product, regardless of your own country. Regional pricing, billing period, promotions, pricing experiments and price changes affect the actual amount paid. The calculator is an illustration in the selected customer's billing currency, not a guaranteed payment or a restriction on where you may promote.
The Program's reporting and commission currency is US dollars (USD). Our native commission ledger uses verified payment evidence from Paddle. For a purchase in another currency, we use the original transaction's verified Paddle payout exchange rate into the agreed settlement currency, including Paddle's recorded currency margin. We retain exact source amounts, the original rate and the rounded original commission. Missing or incompatible conversion evidence holds the calculation for review; we do not substitute a current market rate.
The original collected cash earns commission once. Moving retained value into customer credit does not by itself cancel that original commission, and spending the same credit does not earn it again. Any actual cash return or disputed recovery is reconciled to its original cash source. Unclear provenance remains under review rather than being treated as a new sale or a zero commission.
Bank payouts discharge the recorded USD amount in USD. A different receiving currency is not an automatic option in the initial program. We verify a supported route before payment; a later currency arrangement requires separately recorded terms and conversion evidence. Bank conversion does not revalue earlier commissions or their refunds.
7. Refunds, disputes and corrections
An approved refund or chargeback reduces the related commission in proportion to the original eligible payment, with the cumulative reduction capped at the original reward. A full eligible refund removes the full original reward, including any necessary rounding correction. Cancellation without a refund does not reverse a paid purchase. Duplicate events must not produce duplicate rewards or deductions.
Commission reductions for partial refunds or adjustments are calculated proportionally against the original rounded commission recorded in the agreed settlement currency. We do not apply today's exchange rate to reconstruct it. Restored disputed funds are reviewed against the original payment and reward before any commission is reinstated.
If an ineligible commission was already paid, we give you an itemized explanation. We may offset a supported overpayment against future commissions or request repayment within 30 days of that notice. You may dispute it with evidence; we review the contested amount before pursuing recovery. An internal adjustment does not, by itself, mean cash has been recovered. We do not charge you an unrelated customer's debt, our chargeback-processing fees, or for valid commissions merely because you leave.
8. Payout schedule, threshold and fees
The ordinary commission hold is 30 × 24 elapsed hours after the qualifying captured payment. Mature commissions are reviewed for the monthly run on the 15th, moving to the next Irish banking business day when necessary. The hold delays payment review; it does not treat future conditional purchases as already earned or guarantee that cash arrives on day 30.
There is no minimum payout balance. A positive mature, verified balance may be paid after recipient verification, required invoice evidence, current reconciliation and resolution of affected payment or financial-risk holds. We do not leave a small valid balance unpaid merely because it is below a threshold. Missing information must be supplied promptly so that it does not delay payment.
An applicable mandatory payment deadline takes priority over the ordinary hold and monthly run. We record the supported service-date and deadline evidence, shorten the ordinary hold where required, and arrange an earlier reviewed run when necessary. We do not infer every legal service date from a customer's payment. Tell us promptly of a known local requirement affecting receipt of your income. This provision does not authorize a prohibited transfer, clear a financial-risk hold or justify retrying an uncertain bank attempt.
We pay by reviewed bank transfer through our existing Revolut Business arrangements. We cover our sending and currency-conversion fees. Charges imposed by your own bank or an intermediary may reduce what arrives; those charges are yours. We explain known unavoidable deductions before sending and seek an alternative supported route where practical. We do not reduce your ledger balance by our operating fees.
We may hold specific affected amounts for an unresolved refund, dispute, fraud concern, legal restriction or uncertain transfer. We explain the reason where legally permitted, review the hold at least every 30 days and sooner where a known payment deadline requires attention, and release verified unaffected amounts when reconciliation and payment controls permit. A material unresolved refund on already-paid commission can temporarily hold other payments to the same creator. No fixed hold can guarantee that a later chargeback will not occur. Failed or ambiguous transfers are reconciled before retrying; a dashboard status is not proof of money received.
Valid commissions are not forfeited for inactivity or exit, including later payments from referrals that retain their earning rights. Normal validation and lawful restrictions still apply, subject to any applicable mandatory deadline. Final closure occurs after the last earning period and outstanding adjustments are settled; amounts we cannot legally pay remain recorded pending a lawful resolution.
9. Invoices and taxes
We provide a commission statement. Supply a valid invoice where required by your tax status or applicable law; otherwise, confirm the statement and receipt for our records. Do not charge VAT unless entitled to do so. Tell us your correct tax residence, business status and VAT registration details where applicable. A bank-account change requires fresh verification.
Commission amounts are exclusive of VAT that you are legally required to charge on your affiliate services. Properly chargeable VAT is handled separately against a valid invoice; where a reverse charge applies, the invoice must reflect that treatment. Where Irish VAT invoice rules apply to an invoice in USD, include the required corresponding euro figures using the applicable tax exchange-rate method. This accounting translation is separate from the original Paddle rate used to calculate your USD commission. You are responsible for taxes on your income. We may make a legally required withholding and provide the relevant record.
You are responsible for the registrations, declarations, taxes and foreign-income or repatriation duties applying to your own activity and income. Provide information reasonably needed for the payment and tell us promptly of a known requirement affecting your eligibility or the agreed schedule. This allocation does not remove our own legal or agreed payment obligations.
These terms do not establish automatic self-billing. Any arrangement for us to issue your tax invoices requires a separate prior agreement and invoice-acceptance procedure. A commission statement or bank receipt is not automatically a valid VAT invoice.
10. Accurate promotion and disclosure
Use truthful recommendations based on your experience. Do not invent testimonials, results, earnings, discounts or guarantees. Describe current paid features and trial conditions accurately. You may make honest criticisms; participation does not require a positive review or exclusive promotion of speaking.app.
Make the commercial relationship clear with your recommendation or link, before someone acts on it. Follow the rules applicable to your content and audience. For Irish affiliate content, use a prominent #Ad or an adequate platform advertising label, consistent with CCPC/ASA guidance. A label such as “affiliate” by itself is not a substitute where a primary advertising label is required. For US audiences, follow the FTC's disclosure guidance.
An accompanying explanation can be: “I may earn a commission if you buy through my speaking.app link, at no extra cost to you.” Place the disclosure where it is visible, in the content's language. For video and audio, include an appropriate disclosure in the content itself. A profile bio, hidden detail, footer or these terms alone is not enough. A free Pro grant is also a benefit to take into account when disclosing your relationship.
Do not use self-referrals, fabricated accounts, bots, forced attribution, cookie stuffing, stolen payment details, spam or purchase/refund schemes. Do not offer unauthorized cashback, incentives or coupons. Paid advertising needs prior written permission; without it, do not buy brand-search keywords or paid placements for this Program. Do not impersonate speaking.app, register misleading domains or handles, or infringe others' rights. A commission investigation must not block a legitimate customer's purchased access.
11. Brand assets, your content and confidentiality
You retain your own content and intellectual property. We retain speaking.app's assets and marks. While authorized, you may use the supplied marks and kit materials to promote the product accurately under our brand instructions. This permission is non-exclusive and cannot be transferred or sublicensed. Do not materially alter our marks or suggest employment or authority to represent us.
You authorize us to display the name approved in your invitation and any additional photo, recommendation and profile information you choose to publish in the referral experience and to generate your personal sharing assets while the partnership is active. You must have the necessary rights to those materials. Using your other videos, recordings or posts in our advertising, or reposting them, requires separate permission. Ending participation ends new promotional use of your identity; necessary financial, acceptance and dispute records may remain.
Each side protects the other's non-public information identified as confidential or reasonably understood to be confidential, uses it only for the Program, and shares it only with advisers or service providers who need it and owe appropriate duties. This does not cover information already lawfully known, public without a breach, independently developed, or lawfully obtained elsewhere. Disclosure required by law remains permitted. This obligation lasts three years after participation ends; personal-data and trade-secret duties continue as required by law. It does not prevent lawful reporting of concerns or discussion of your own honest experience.
12. Privacy
We handle application, account, agreement, support, identity and payment information for Program administration as explained in our Privacy Policy. Speaking.app stores account referral choices and commission evidence in its own restricted database. Paddle is the merchant of record for underlying customer purchases; Revolut or the agreed company bank handles payouts under its applicable notices.
Your financial statement contains commission entries and verified bank-payment outcomes, without referred customers' names, emails, locations or speaking content. Attribution and billing evidence are restricted operational records. Customers' optional analytics choices remain separate from account referral attribution. Your participation does not authorize access to customer contact lists, recordings, transcripts, scores or practice behavior. Historical records from a previous service are retained only where needed to resolve existing obligations; native participation does not create a new FirstPromoter account.
Financial and acceptance records may remain after participation ends where needed for settlement, tax, legal claims or other lawful obligations. Our Privacy Policy explains rights, retention and international transfers. Contact us about access, corrections or objections; agreeing to these terms does not remove those rights.
13. Leaving, suspension and changes
You can leave by emailing us. We may end the relationship for convenience on 30 days' written notice. For a remediable material breach, we normally give written notice and 14 days to correct it. We may restrict new referrals or suspend participation immediately where reasonably necessary to prevent fraud, protect people or comply with law. We explain the basis and offer a review where lawful. An honest negative review alone is not grounds for treating earnings as fraudulent.
After a pause or end, new referrals and partner-only access stop. Remove active affiliate promotions and stop new use of Program branding when requested; this does not restrict lawful independent references to the product. Previously valid referrals keep their original conversion deadline, commission rate and remaining earning period. Valid accrued earnings remain payable, subject to the specific corrections and holds in these terms. Our decision to close the Program does not erase those obligations.
A new public terms document does not replace your accepted version. We give at least 30 days' notice of proposed commercial changes and obtain explicit acceptance before they apply to new referrals under your agreement. If you decline, we can end new participation with notice while honoring existing rights. No change retrospectively reduces an existing valid referral's rate or restarts its clocks. Legally required operational restrictions may take effect sooner, with notice where possible.
14. Responsibility and liability
Each side is responsible for its own breaches and must take reasonable steps to limit resulting losses. Neither side guarantees sales or a level of income. To the extent permitted by law, neither side is liable to the other for indirect or consequential losses. This exclusion does not turn an earned commission into an excluded loss.
Each side's total liability arising from the Program in any rolling 12-month period is limited to the greater of US$1,000 and the commissions paid or payable to you during the 12 months before the event giving rise to the claim. The cap and indirect-loss exclusion do not limit valid commission or reimbursement payment obligations, fraud, intentional misconduct, death or personal injury caused by negligence, or any responsibility that cannot lawfully be limited. Mandatory consumer and data-protection rights remain unaffected.
There is no separate obligation to defend or indemnify the other side for every third-party claim. Ordinary remedies for a proven breach remain available, subject to this section. These Program-specific provisions govern affiliate claims instead of a service-use cap based on subscription fees.
15. General provisions and disputes
You act independently. The Program name does not create a legal partnership, employment, agency or authority to bind Prosody Limited. There is no exclusivity, minimum referral quota or insurance-purchase requirement under these terms.
Irish law governs this agreement. The courts of Ireland have jurisdiction, subject to any mandatory rights to use another court. First contact hello@speaking.app with the issue and supporting records so we can seek a resolution. This does not prevent urgent relief or exercising statutory rights, and there is no mandatory arbitration or waiver of collective legal rights.
We send formal notices to your registered email or another address you nominate in writing. You can notify us at the address in section 1. Administrative delays or events outside reasonable control do not erase accrued payment obligations; the affected side must explain the issue and resume performance promptly.
Neither side may transfer this agreement without the other's written agreement, except that we may transfer it with the business to a successor that assumes these obligations and informs you. If a provision is unenforceable, the rest continues where legally possible. Failure to enforce a provision once is not a general waiver. The accepted version and any expressly agreed written variation form the affiliate agreement. Payment, correction, confidentiality, intellectual-property ownership, privacy, liability and dispute provisions continue for as long as needed after exit.
